Has anyone had issues with an M&A transaction attorney appearing biased or favoring one side?
I have not as of yet, and normally each side would get counsel. We have both internal and outside counsel.
Yes, both sides usually have lawyers and during the SPA contract some clauses are added after negotiation between both parties
