I am not sure you can 100% ensure that there are no implication to the targeted business. A good understanding of the care-out and the industry in general will allow you to figure out if the carve-out is a “standalone” business without anymore ties to the target business.
I’ve found that in the case of carve-outs there is a need for more in-depth diligence in most (or all) workstreams. This will ensure that entanglements are identified and dispositioned to support the creation of a suitable TSA and also to help the buyer better understand the execution requirements to achieve separation.
