With the emergence of new M&A transaction structures such as the Special Purpose Acquisition Company (SPAC) structure which involves the raising of capital through an initial public offering (IPO) by a “black-check” shell company for the purpose of acquiring an existing operating company and a subsequent merger with or acquisition by the publicly traded SPAC to become a listed company in lieu of executing its own IPO, the M&A scene is constantly evolving.
