how does the integration process fit in M&A deal if the acquiring company is a passive investor?

I believe that n passive investment scenario, there wouldn’t be a merger and consequently no PMI.

I would agree. Assuming they have no intention of achieving synergies and are just acquiring to build their portfolio, I can’t see why there would be any level of integration, unless it is very minimal.
